Terms & Conditions for Debenture Holders

Part A - Registration Terms and Conditions – Debenture Holders

  1. Registration by Debenture holder and Accurate User Information
    1. In order to register the prospective seller must be a Debenture Holder (“DH”) or be able to prove that they are fully authorised by a DH. Debentures Ltd. (“WimbledonDebentureHolders.com”) reserves the right to terminate the account of any person who is not a DH. WimbledonDebentureHolders.com will only act for prospective sellers who are at least 18 years old.
    2. The DH agrees to provide true, accurate, current and complete information about him/herself when completing the details on the site or giving details to WimbledonDebentureHolders.com for including on the site.
    3. The DH agrees to maintain and update this information to keep it true, accurate, current and complete. In particular, the DH must update the site as to availability of tickets.
    4. If any information provided is untrue, inaccurate, obsolete, incomplete or misleading. WimbledonDebentureHolders.com reserves the right to terminate the relevant account and prevent further use of the website.
    5. If a DH registers details on the site, this does not itself create a binding contract for sale by any party – it only indicates that the DH is willing and able to sell tickets.
  2. Privacy of Information Provided
    1. WimbledonDebentureHolders.com will keep confidential all information given by or about the DH which is not considered public information, including but not limited to information provided during the registration process and e-mail communications transmitted through the Web Site.
    2. WimbledonDebentureHolders.com will not disclose such information to any third parties without your consent, except that you agree WimbledonDebentureHolders.com may do so if such information is already in the public domain, is required to be disclosed by law or is required by a governmental agency.
  3. Termination
    1. A DH who wishes to remove their details for any reason is entitled to do so by giving notice to WimbledonDebentureHolders.com by sending an email to office@wimbledondebentureholders.com or by sending a fax. WimbledonDebentureHolders.com will remove the DH’s details within 48 hours of acknowledging receipt of the notification.
    2. Without prejudice to any remedy that WimbledonDebentureHolders.com may have, WimbledonDebentureHolders.com may terminate or suspend (without liability to the DH) with immediate effect and without notice the DH’s access to, and use of the Web Site, if
      1. WimbledonDebentureHolders.com reasonably believes that the DH has breached any of the Registration or Ticket Sales Terms & Conditions
      2. WimbledonDebentureHolders.com is unable to determine the accuracy or validity of any information provided by a DH;
      3. WimbledonDebentureHolders.com suspects fraudulent, abusive or illegal activity by the DH;
      4. The DH fails to honour any part of a contract for the sale or purchase of tickets.
      5. there is any other business or technical reason.
    3. A DH may be refused further access to the Web Site and the WimbledonDebentureHolders.com service if they send by email or letter, or communicate face to face or verbally, any abusive, offensive, libellous, threatening or otherwise objectionable messages to WimbledonDebentureHolders.com staff or make libellous or offensive allegations about WimbledonDebentureHolders.com, to other users or third parties;

Part B - Ticket Sales Terms & Conditions – Debenture Holders as Sellers

  1. The Contract
    1. A Contract shall be deemed to have been made between the Debenture ticket holder ("Seller") and the ticket buyer (“Buyer”) when the Buyer has confirmed requirements via the website or telephone and Debentures Ltd. (“WimbledonDebentureHolders.com”) acting as agent for the Seller has confirmation from the Seller of the willingness to sell at the offered price and WimbledonDebentureHolders.com has consequently accepted such a booking with the Buyer. An invoice or Final Confirmation from WimbledonDebentureHolders.com to the Buyer by e mail or fax is proof of the Seller’s acceptance of the booking.
    2. WimbledonDebentureHolders.com is acting solely as an agent for the Seller and is not a counterpart to the Contract.
  2. Commission and Price
    1. WimbledonDebentureHolders.com shall charge a commission of 16.5% + vat of the ticket price by the Buyer for its role as agent to the Seller. The commission shall include all the costs of WimbledonDebentureHolders.com. The Seller shall receive from the Buyer the ticket price less the commission to WimbledonDebentureHolders.com ("Payment").
  3. Delivery and Payment
    1. The Seller shall deliver to WimbledonDebentureHolders.com the ticket sold as agreed in Clause 1 at the later date of (a) within one week of the sale being agreed and (b) within one week of the Seller receiving the tickets from the All England Lawn Tennis Club, provided that always the tickets are delivered to WimbledonDebentureHolders.com at least two days before the date on the ticket.
    2. WimbledonDebentureHolders.com will provide the Seller with delivery instructions. Delivery to WimbledonDebentureHolders.com is the responsibility of the Seller. Delivery will only have been completed once WimbledonDebentureHolders.com has signed for acceptance of delivery. Evidence of posting shall not be deemed evidence of delivery. The cost of delivery from the Seller to WimbledonDebentureHolders.com shall be to the account of the Seller.
    3. WimbledonDebentureHolders.com as agent for the Seller will be responsible for delivery of the ticket to the Buyer once it has been received from the Seller. A charge for this delivery shall be made to the Buyer and such sum shall be retained by WimbledonDebentureHolders.com for this service.
    4. Pursuant to the Seller and the Buyer entering into a contract, as set out in Clause 1, the Seller (or the Seller’s estate as the case may be) will be responsible for delivering the ticket to WimbledonDebentureHolders.com, as set out in this Clause 3, in all circumstances and the obligation of the Seller to deliver the ticket shall not be reduced, discharged or otherwise adversely affected under any circumstance including, without limitation, the following:
      1. any insolvency, bankruptcy, liquidation, administration, winding up, incapacity, death, limitation, disability, the discharge by operation of law, or any change in the constitution, name or style of the Seller or any other person;
      2. granting to any third party a power of attorney; or
      3. any claim or enforcement as security over the ticket from any third party.
    5. WimbledonDebentureHolders.com shall make the Payment due to the Seller as follows:
      1. For up to ten tickets, 25% of the Payment shall be made within 30 days of receiving the monies from the Buyer for the ticket (“Deposit Payment”) and 75% of the Payment shall be made within 30 days of receiving the ticket from the Seller (“Balance Payment”).
      2. For 10 to 26 tickets the Deposit Payment shall be 20% (with a Balance Payment of 80%) of the Payment,.
      3. For 27 to 52 tickets the Deposit Payment shall be 15% (with a Balance Payment of 85%) of the Payment.
      4. Above 52 tickets the Deposit Payment shall be 10% (with a Balance Payment of 90%) of the Payment
      The Balance Payment shall be 80%, 85% and 90% of the Payment respectively. These percentages are per sale and are not based on cumulative sales. WimbledonDebentureHolders.com may, in its sole discretion, agree different payment options with Sellers in relation to the Payment.
  4. Cancellations or Variations by the Seller
    1. All completed sales are final. Confirmation of an order by the Seller is deemed an instruction for WimbledonDebentureHolders.com as agent to deliver the tickets from the Seller to the Buyer on behalf of both parties. Any request for a cancellation or variation of the sale by the Seller must be emailed to office@wimbledondebentureholders.com. Each case shall be reviewed on its own personal merits but contract cancellations or variations will only be made in special situations.
  5. Alterations to Advertised Tickets.
    1. WimbledonDebentureHolders.com as agent to the Seller has the right to change the price applicable to any ticket (upwards or downwards) at any time prior to a booking being accepted.
    2. If the day of the booked ticket is cancelled or restricted due to inclement weather conditions, and the Seller receives a payment from the All England Lawn Tennis Club for such an eventuality, then the Seller shall forward that payment within 30 days to WimbledonDebentureHolders.com and WimbledonDebentureHolders.com will forward the same amount to the Buyer.
  6. Tax
    1. The Seller is responsible for determining whether any taxes (including VAT) are chargeable on the Seller’s sale of tickets, and, if so, any tax due will be included in the Payment in accordance with Clause 2 (with no additions).
  7. Liability of the Buyer
    1. The Seller hereby acknowledges that the Buyer's only liability under the Contract is to pay the price for the ticket as agreed together with the delivery charge as stated in clause 3iii.
  8. Liability of WimbledonDebentureHolders.com
    1. The Seller hereby acknowledges that WimbledonDebentureHolders.com is acting as an agent for the Seller in arranging the booking. WimbledonDebentureHolders.com will be liable for any losses up to a maximum of the value of the Commission as calculated in clause 2 for any loss suffered by the Seller due to any act or omission of WimbledonDebentureHolders.com. WimbledonDebentureHolders.com will not be liable for any indirect losses including consequential, special or punitive damages including lost opportunity or loss of profits.
    2. If the event for the booked ticket is cancelled or postponed for any reason, including national emergency, outbreak of war, prohibitive government regulations, strikes, consequences of terrorism, inclement weather conditions or any other cause beyond the reasonable control of the WimbledonDebentureHolders.com, WimbledonDebentureHolders.com shall not be liable in any way.
  9. Law and Construction
    1. The contract and these Terms and Conditions shall be governed by English Law and WimbledonDebentureHolders.com, the Seller and the Buyer hereby submit to the exclusive jurisdiction of the English Courts in all matters regarding to contracts and these Terms and Conditions.

Part C - Booking Conditions and Payment Terms - Swaps

  1. The Contract
    1. A Contract shall be deemed to have been made between the debenture ticket holder wishing to receive a swap ticket (“Transferee”) and the debenture ticket holder wishing to give a swap ticket (“Transferor”) when all Transferees and Transferors have confirmed the swap via email or telephone, Payment has been made in accordance with clause 4 and Debentures Ltd. (“WimbledonDebentureHolders.com”) acting as agent for the swap has accepted such a swap. An invoice, Transaction Receipt or Final Confirmation by e mail is proof of such acceptance
    2. WimbledonDebentureHolders.com is acting solely as an agent for the swap and is not a counterpart to the Contract.
    3. If one Contract in a swap is terminated by WimbledonDebentureHolders.com acting as agent for the swap in accordance with these Terms & Conditions then WimbledonDebentureHolders.com has the right to terminate all the other Contracts in the swap arrangement.
  2. Price.
    1. The Price to the Transferee for the swap will be:
      1. the price of the swap ticket received less the price of the swap ticket given, where the prices used are those quoted on the page called "view current ticket prices" in the Members Area of this website on the day the swap is confirmed in accordance with clause 1. (If this value is negative it will result in a payment to the Transferee); plus
      2. a commission of 7.5% of the price quoted on the page called "view current ticket prices" in the Members Area of this website on the day the swap is confirmed in accordance with clause 1; plus
      3. a delivery charge (which for a UK address will be £6).
    2. The amount calculated in clause 2.1 (a) is payable to or receivable from the Transferor.
    3. The commission in clause 2.1 (b) is payable to WimbledonDebentureHolders.com.
    4. The delivery charge in clause 2.1 (c) is payable by the Transferee.
  3. Transferee and Transferor Details and Requirements.
    1. The Transferee and Transferor will be responsible for registering correct details as to his/her:
      1. Name and address; and
      2. Credit card or bank details for the purpose of payment. The credit card must belong to the Transferee or Transferor.
    2. The Transferee and Transferor must be aged 18 and over.
    3. If the Transferee or Transferor provides any details that are incomplete or incorrect, WimbledonDebentureHolders.com as agent for the swap has the right to terminate any contract between the Transferee and the Transferor.
  4. Payment – Credit Card/Cheque Payment
    1. Full payment of the Price must be made immediately upon agreeing the swap and the swap Contract will not be in force until payment is made.
    2. Full payment of the Price must be received and cleared before tickets are dispatched.
    3. Confirmation of an order with the Transferee and the Transferor is deemed an instruction for WimbledonDebentureHolders.com as agent for the swap to deliver the tickets from the Transferor to the Transferee.
    4. Once a swap contract has been made tickets cannot be exchanged or refunded.
    5. Failure to make payment as per this clause within 5 days of agreeing the swap will allow WimbledonDebentureHolders.com acting as agent for the swap to inform all Transferees and Transferors in the swap that they are free to reallocate the tickets identified for the swap and if any of the Transferees or Transferors take up this option then the swap Contract will not be consummated.
  5. Cancellations or Variations by the Transferee or Transferor
    1. All completed swaps are final. Any request for a refund or a variation to the booking must be emailed to office @wimbledondebentureholders.com. WimbledonDebentureHolders.com shall review each case on its own personal merits but refunds or variations will only be made in special situations.
  6. Alterations to Advertised Tickets
    1. All advertised tickets are subject to availability
    2. WimbledonDebentureHolders.com as agent has the right to change the price applicable to any ticket (upwards or downwards) at any time prior to a booking being accepted. When such change alters the price from that advertised the altered price must be paid in accordance with payment clause 4 above.
    3. If the day of the booked ticket is cancelled or restricted due to inclement weather conditions, any refund to the Transferee being equal to that that the Transferor receives from the All England Lawn Tennis Club for such an eventuality will be passed onto the Transferee.
  7. Liability of the Transferor
    1. The Transferee hereby acknowledges that the maximum liability under tha swap Contract will be the full payment due under Clause 4.1 for a failure in delivering the tickets or any other loss suffered by the Transferee due to any act or omission by the Transferor. The Transferor will not be liable for any indirect losses including consequential, special or punitive damages including lost opportunity or loss of profits.
    2. In any event the Transferor shall not be liable for death or personal injury suffered by the Transferee or its guests arising out of the booking. This restriction of liability shall also extend to any loss or damage sustained to property or belongings of the Transferee or any of the Transferee’s guests or for any further costs, demands or expenses incurred or suffered by the Transferee arising out of the booking.
    3. If the event for the booked ticket is cancelled or postponed for any reason, including national emergency, outbreak of war, prohibitive government regulations, strikes, consequences of terrorism or any other cause beyond the reasonable control of the Transferor, the Transferor shall not be liable and no refunds will be made.
    4. The liability of the Transferor in the event of inclement weather conditions affecting the day of the booked ticket is limited to the payment due under clause 6.3
  8. Liability of WimbledonDebentureHolders.com
    1. The Transferee hereby acknowledges that WimbledonDebentureHolders.com is acting as an agent in arranging the swap. WimbledonDebentureHolders.com will be liable for any losses up to a maximum of the commission paid as calculated in clause 2.1 (b) for any loss suffered by the Transferee due to any act or omission of WimbledonDebentureHolders.com. WimbledonDebentureHolders.com will not be liable for any indirect losses including consequential, special or punitive damages including lost opportunity or loss of profits.
    2. In any event the WimbledonDebentureHolders.com shall not be liable for death or personal injury suffered by the Transferee or its guests arising out of the booking. This restriction of liability shall also extend to any loss or damage sustained to property or belongings of the Transferee or any of the Transferee’s guests or for any further costs, demands or expenses incurred or suffered by the Transferee arising out of the booking.
    3. If the event for the booked ticket is cancelled or postponed for any reason, including national emergency, outbreak of war, prohibitive government regulations, strikes, consequences of terrorism, inclement weather conditions or any other cause beyond the reasonable control of the WimbledonDebentureHolders.com, WimbledonDebentureHolders.com shall not be liable in any way.
  9. Law and Construction
    1. The Contract and these Terms and Conditions shall be governed by English Law and WimbledonDebentureHolders.com, the Transferee and the Transferor hereby submit to the exclusive jurisdiction of the English Courts in all matters regarding to contracts and these Terms and Conditions.
